Terms of Service

You must be at least 18 years old and able to form a binding contract to use the Platform. You are responsible for the accuracy of the information you provide and for keeping your account credentials secure. You are responsible for all activity that occurs under your account.

Tru Machinery Market is an online venue that connects buyers and sellers of heavy equipment and commercial vehicles. We are not a party to any transaction between users, we do not take title to any equipment, and we do not act as a broker, dealer, agent, auctioneer, or appraiser. Any sale, purchase, negotiation, payment, inspection, financing, transport, and transfer of equipment is solely between the buyer and the seller.

If you list equipment, you represent that you have the right to sell it, that your listing is accurate and not misleading, and that you will honor the terms you advertise. You are solely responsible for your listings and for compliance with all applicable laws. We may review, decline, edit, remove, or unpublish any listing, and may suspend or terminate any account, at our discretion — including to verify a seller's legitimacy.

A “Tru Report” reflects a condition inspection recorded by the seller and, where indicated, reviewed by us. It is provided for informational purposes only, may not identify every issue, and is not a warranty, guarantee, or certification of an equipment's condition, safety, or fitness. Buyers should conduct their own independent inspection and due diligence before purchasing.

Dealers pay a recurring monthly subscription to publish listings. New dealer subscriptions may include a free trial period; if you do not cancel before the trial ends, your selected plan will begin and your payment method will be charged automatically. Subscriptions renew automatically each month until canceled. You may cancel at any time through your billing settings; cancellation takes effect at the end of the current billing period.

Individual sellers pay a one-time fee per listing based on the plan selected at publication.

Payments are processed by Stripe, Inc. By paying, you also agree to Stripe's terms. Fees are stated at the point of purchase and are exclusive of any applicable taxes. Except where required by law, fees are non-refundable. We may change our fees prospectively on notice.

You agree not to:

• Post false, misleading, fraudulent, or infringing content;
• List equipment you do not have the right to sell;
• Circumvent fees, scrape the Platform, or interfere with its operation or security;
• Harass other users or send spam;
• Use the Platform for any unlawful purpose.

The Platform, including its software, design, and trademarks, is owned by us and protected by law. You retain rights to the content you submit, but grant us a non-exclusive, worldwide license to host, display, and promote your listings on and in connection with the Platform.

The Platform and all content are provided “as is” and “as available” without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant the accuracy of listings, the condition of any equipment, or the conduct of any user, and we do not guarantee that the Platform will be uninterrupted or error-free.

To the fullest extent permitted by law, we will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss arising from a transaction between users. Our total liability for any claim relating to the Platform will not exceed the greater of the amount you paid us in the three months before the claim or one hundred dollars ($100).

You agree to indemnify and hold us harmless from any claims, damages, and expenses (including reasonable attorneys' fees) arising out of your use of the Platform, your listings or transactions, or your violation of these Terms or applicable law.

You may stop using the Platform at any time. We may suspend or terminate your access at any time, with or without notice, including for violation of these Terms. Provisions that by their nature should survive termination will survive.

These Terms are governed by the laws of the State of California, without regard to its conflict-of-laws rules. The exclusive venue for any dispute will be the state or federal courts located in California, and you consent to their jurisdiction.

We may update these Terms from time to time. Material changes will be reflected by the “Last updated” date above, and your continued use of the Platform after changes take effect constitutes acceptance.
